NOTICE OF HEARING ON GREATER NEWBURYPORT REALTORS, INC.'S PETITION FOR VOLUNTARY DISSOLUTION
To all Directors, Officers, and Members of Greater Newburyport Realtors, Inc.:
PLEASE TAKE NOTICE that, pursuant to G.L. c. 180, § 11 and the Order of the Essex County Superior Court dated January 28, 2026, a Petition for Voluntary Dissolution of Greater Newburyport Realtors, Inc. ("GNR"), a domestic noncharitable not-for-profit corporation, duly organized and existing under the laws of the Commonwealth of Massachusetts, with its principal office at 143 State Street, Unit 5, Newburyport, Massachusetts, has been submitted to the Essex County Superior Court on January 16, 2026, and you are hereby notified as follows:
1. The basis and proposed terms of the Petition for Voluntary Dissolution include the following:
a) GNR is dissolving because it has become impractical to continue its operations, as membership and revenue have significantly declined since 2021, and volunteer participation has become insufficient to sustain its operations.
b) On August 27, 2025, at a duly called meeting of the members of GNR, at which a quorum of the membership was present and voting, a majority of the members approved the liquidation and dissolution of GNR.
c) On October 29, 2025, the Board of Directors of GNR, by a series of resolutions passed unanimously by written consent of said Directors, authorized that the Petition for Voluntary Dissolution should be presented to the Supreme Judicial Court or the Superior Court.
d) On October 31, 2025, after satisfaction of its debts, obligations, liabilities, and expenses, GNR transferred all of its remaining assets to North Shore Association of Realtors, Inc., a domestic noncharitable not-for-profit corporation, duly organized and existing under the laws of the Commonwealth of Massachusetts, with its principal office at 398 Essex Street, Beverly, Massachusetts.
e) As a result, GNR has no outstanding assets, debts, liabilities, or obligations to creditors, and avers that any debts, liabilities, or obligations incurred in connection with its dissolution will be satisfied in full and discharged.
f) North Shore Association of Realtors, Inc. will pay any anticipated dissolution-related expenses, including any filing and legal fees incurred with respect to the dissolution of GNR.
2. A hearing on the Petition for Voluntary Dissolution has been scheduled as follows:
